Terms of Service
These Terms of Service (the “Terms”) describe the rights and responsibilities that apply to your use of ProsperSmartly, LLC’s websites, services, and mobile applications (collectively, the “Service”), each owned and operated by ProsperSmartly, LLC (“ProsperSmartly,” “we,” “our,” or “us”).
1. Acceptance of Terms Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms, as well as ProsperSmartly’s Privacy Policy (the “Privacy Policy”) and any applicable community guidelines (the “Community Guidelines”). If you do not agree to these Terms, you may not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to the Terms. If you do not have such authority, you must not accept the Terms or use the Service on behalf of such entity. The Service is only available to individuals who have reached the age of majority in their jurisdiction of residence and are fully able and competent to enter into, abide by, and comply with these Terms.
2. Your ProsperSmartly Account If you create an account on the Service (your “Account”), you are responsible for maintaining the security of your Account and any content associated with it (“Content”). You are fully responsible for all activities that occur under your Account. You must not use misleading or unlawful information in connection with your Account, including any attempt to trade on the name or reputation of others. ProsperSmartly reserves the right to change or remove any description or keyword that it considers inappropriate or unlawful.
You must immediately notify ProsperSmartly of any unauthorized use of your Account or any other security breach. ProsperSmartly will not be liable for any acts or omissions by you, including any damages incurred as a result of such acts or omissions.
3. Paid Accounts For accounts with paid subscriptions (“Paid Accounts”), the person whose name appears on the credit or charge card used for payment is deemed the owner of the Paid Account. If a corporate or organizational name appears on the payment method, that entity is deemed the owner. In the event of a dispute regarding ownership, the most recent payment method on file will continue to be charged until ProsperSmartly receives written confirmation from the Paid Account email address confirming a change in ownership.
4. Fees and Renewals Pricing for Paid Accounts will be provided at the time of purchase. Unless otherwise stated at the time of purchase or agreed upon separately, fees for a Paid Account are billed in advance for each billing cycle and are non-refundable. There will be no refunds or credits for partial months of service or for periods in which your Paid Account remains open but unused.
ProsperSmartly reserves the right to modify its billing rates at any time with thirty (30) days written notice. Notice will be provided via updates to the Service or email notifications. You will be responsible for paying any adjusted rates.
By purchasing any fee-based Service, you agree that our third-party payment processors (such as Stripe or PayPal) may store your payment information. You expressly authorize us to charge your payment method for: (i) the applicable subscription fee for the Service, billed based on the subscription period; (ii) any additional fees for services you purchase; (iii) any charges exceeding the usage limits of the Service; (iv) any applicable taxes associated with your use of the Service.
If your provided payment method expires and you do not update your information or cancel your Account, you authorize us to continue billing you, and you remain responsible for any unpaid fees.
5. Subscription Renewal Subject to your payment of applicable fees, ProsperSmartly will provide the Service for the paid subscription period (the “Subscription Period”). At the end of the Subscription Period, your subscription will automatically renew unless you cancel as outlined in the “Termination” section below.
6. Termination You may cancel your Paid Account at any time by following the instructions in your Account settings. If you cancel before the end of a Subscription Period, your Paid Account will remain active until the end of the current billing cycle, but no refunds or credits will be provided for unused portions of the Service. ProsperSmartly reserves the right to suspend or terminate any Account for violation of these Terms, with or without notice.
